Representative Matters
  • Advise owners and subcontractors regarding procurement, risk allocation, contract negotiations, and claims resolution for design and construction of public and private projects, including commercial, industrial, and infrastructure projects 
  • Represented large metropolitan county in connection with delay and cost overrun claims by general contractor relating to various matters, including a jail project, road project, and complex historical renovation of courthouse and other county facilities 
  • Represented condominium and master associations in claims related to construction defects involving a 33-story high rise in Dallas 
  • Represented a concierge physician in the development, financing, and leasing of a 182,000 square-feet medical building on land ground leased from an adjoining hospital. An existing office building owned by the client was conveyed to the hospital in a Section 1031 tax-free exchange which generated most of the equity required by the construction loan. Additional equity was raised through a private offering available only to tenants in the building. We have handled a subsequent financing and all leasing. 
  • Won take-nothing jury verdict for telecommunications company headquartered in Dallas in real estate dispute 
  • Represented a client and other working interest owners in closing three successful sales of acreage in the Red Bull Prospect in Reeves County, Texas. We coordinated the activities of all sellers and worked on a split of operations between the north and south sides of the prospect to resolve operational issues. The closing of the total sale involved development of a strategy to minimize risk of a pending lawsuit of claims of interest in assets. Total value of the sales was approximately $1.45 billion. 
  • Represented an oil and gas developer and operator in connection with multiple transactions, including a divestiture of Eagle Ford interests in a transaction with a value exceeding $250 million 
  • Represented a client throughout its life cycle in developing natural gas production in Ohio, including initial entity formation with private equity backing; employee participation incentive planning; production mortgage credit facility and commodity hedging with Citibank; Joint Exploration Agreement with 25% participant; initial acquisition; add-on acquisitions, title issues, trades, and farm-outs; Master Service Agreements with all vendors; gas sales and transportation agreements; and disposition
  • Represented commercial property owners (including student housing owners and hotel owners) in property right disputes in state court, including claims of wrongful foreclosure, commercial evictions, and lease disputes
