Our firm was there in 1984 when the corporate board of Gearhart Industries convened one of the first Special Litigation Committees under Texas corporate law. At the time, there was not even a procedure in Texas for use of a Special Litigation Committee. Since then, we have been a leader in representing and counseling directors and officers in connections with investigations of shareholder claims, accounting issues, and “whistleblower” claims, as well as potential major transactions such as mergers. Because our litigators have experience with a wide range of industries, and complex business and accounting issues, we can quickly come up to speed on these matters in an efficient way. We are particularly adept at guiding our clients effectively through a process that requires an understanding not only of their fiduciary obligations but also of the corporate issues at stake.
