John Stevenson is an associate in the real estate practice group at Carrington Coleman, where his practice focuses on real estate law, lending transactions, and corporate law.

John’s diverse real estate practice includes representing clients in real estate acquisitions and dispositions, real estate development and construction, and commercial lease transactions. John also represents banks, nonbank lenders, and borrowers in various types of lending transactions, including real estate loans, construction loans, mezzanine finance transactions, loan restructurings and foreclosures.

In addition to (and sometimes in connection with) his real estate practice, John represents individuals, businesses, investors, and funds in all types of corporate legal matters, including entity formations, mergers & acquisitions, private equity transactions, contract drafting and employment issues. John also provides offsite general counsel services and advises individuals regarding wealth and asset protection strategies, including the formation of trusts, family limited partnerships and limited liability companies.

Experience

Real Estate Law

  • Represented entities and individuals in commercial real estate acquisitions and dispositions. Prepared and negotiated real estate purchase agreements, reviewed surveys and title policies, and worked with banks and title companies regarding real estate closings.
  • Represented clients in real estate development and construction projects. Advised developer clients regarding land use, environmental and zoning issues. Drafted and reviewed declarations, reciprocal and construction easement agreements, and construction contracts. Advised owners, contractors and subcontractors regarding mechanics lien and nonpayment issues.
  • Prepared and negotiated various types of commercial lease agreements on behalf of landlords and tenants, including office, retail and industrial leases.
  • Formed and advised residential and condominium homeowners associations.

Lending Transactions

  • Represented lenders and borrowers in connection with various real estate and commercial lending transactions.
  • Represented major national bank in multiple lending transactions, including term loans, revolving credit facilities, real estate loans, construction loans, loan restructurings and defaults.
  • Represented multiple local banks as lender’s counsel in connection with small business and commercial loans ranging from $500,000 to $10,000,000.
  • Represented private equity company borrower in obtaining a $15,000,000 mezzanine credit facility from middle market lender in connection with multiple real property acquisitions.

Corporate Law and Mergers & Acquisitions

  • Represented businesses and private equity companies in merger and acquisition transactions across a wide variety of industries.
  • Formed various Texas, Delaware and other U.S. and foreign entities for business, nonprofit and asset protection purposes, including complex entity structures for private equity companies.
  • Reorganized and terminated entities. Prepared complex company agreements, bylaws, limited partnership agreements, buy-sell agreements and shareholders agreements.
  • Provided general counsel services for numerous local businesses and nonprofit organizations.
  • Oversaw and managed litigation for business and real estate clients, including responding to discovery requests, filing answers and preparing settlement and release agreements.
  • Advised individuals, tax partnerships, corporations, and other entities regarding various federal, state and local tax issues.
