  •  Acted as corporate counsel for a wide variety of closely held and publicly traded businesses.
  • Represented buyers and sellers in various business acquisitions and dispositions.  Drafted asset purchase agreements, stock purchase agreements, and membership and LP interest purchase agreements.
  • Represented lenders and borrowers in connection with traditional lending transactions and mezzanine finance transactions.
  • Involved in numerous real estate transactions as counsel to buyers and sellers. Negotiated commercial leases and real estate purchase agreements. Analyzed title surveys and easements, prepared deeds of trust and coordinated with title companies regarding real estate closings.

  • Assisted businesses in creating employee benefit plans for key employees, including stock options & warrants, stock appreciation rights plans, profits interests, and restricted equity plans.
  • Advised individuals, tax partnerships, corporations, and other entities regarding various tax issues.

Estate Planning and Administration

  • Created comprehensive asset protection strategies and estate plans for high net worth clients.
  • Tax planning involving complex wills, credit shelter trusts, irrevocable life insurance trusts, exempt/nonexempt trusts and marital trusts.
  • Represented clients in probate court and acted as estate attorney in multiple types of administrations. Negotiated and drafted numerous family settlement agreements in order to settle contentious estates.
